Distribution Solutions Group to acquire GradeEight, gaining Winzer and FastServ Supply operations
Executive Summary

Distribution Solutions Group acquires GradeEight Holdings (Winzer + FastServ Supply) for ~$110M in annual sales, adding 270 franchisees, distribution hubs in TX/MI, and 8 physical stores in AR/TX to its MRO portfolio alongside Lawson Products. Deal closes Q4 2026.

Why It Matters

B2B distribution consolidation mirrors what happened in consumer retail — fewer, larger buyers with more pricing power. MRO brands on Amazon Business and Walmart Business face the same margin compression consumer brands felt when big-box retail consolidated.

Operator Take

MRO supply consolidation compresses the independent distributor layer — brands selling maintenance, repair, and operations products on B2B marketplaces face fewer but larger, more price-efficient buyers. Audit your MRO category wholesale margins now; consolidated distributors will push for better terms.

Full Coverage

Distribution Solutions Group Inc. plans to expand its sales reach — both online and in physical stores — with the acquisition of GradeEight Holdings LLC. GradeEight, which distributes maintenance, repair and operations (MRO) distribution products through Winzer Corporation FastServ Supply, works with 270 franchisees across the U. S.

, according to the companies’ announcement. The acquisition comes as Distribution Solutions Group has expanded its own ecommerce capabilities in 2025 and 2026. Those efforts would grow to include the ecommerce sites for both Winzer and FastServ Supply through the new deal.

Distribution Solutions Group expects to fund the transaction using a combination of cash and credit.

Why Distribution Solutions Group is acquiring Winzer and FastServ Supply “GradeEight, through its Winzer and FastServ Supply businesses, has successfully built a differentiated on-site business with committed franchisees serving a loyal customer base and enjoying a strong market presence across the MRO market and retail channels,” said J.

Bryan King, chairman and CEO at Distribution Solutions Group. “Their complementary capabilities, broad marketplace coverage, and established presence enhance DSG’s platform and our ability to serve customers across key regions.” King noted the opportunities he sees ahead for his company, thanks to the acquisition.

“We are excited to invest in tools, products, and other growth opportunities for its franchisees and FastServ locations to deepen engagement with their customers,” King stated.

“We are pleased to welcome the GradeEight team to DSG and look forward to leveraging our combined strengths to drive continued growth and value for our customers, suppliers and associates.” Where GradeEight will fit in GradeEight Holdings will bring about $110 million in annual sales to Distribution Solutions Group, according to the acquisition announcement.

The companies expect the deal to close by the end of the fourth quarter in 2026. That would place GradeEight’s operations alongside MRO distributor Lawson Products in the new owner’s portfolio. “This transaction represents an exciting new chapter for GradeEight,” said Cody Patterson, CEO of GradeEight Holdings.

“By joining DSG and working alongside the Lawson Products team, we gain access to expanded resources, product categories, and operational capabilities that will benefit our customers and supplier partners.” In addition to its sales, Winzer would add distribution facilities in Texas and Michigan to Distribution Solutions Group.

FastServ Supply’s operations include eight physical stores, located in Arkansas and Texas. They serve customers in a variety of industries.

Among them are: automotive construction manufacturing transportation and logistics government and public sector energy agriculture “We are grateful for the relationships we have developed over the years and believe this combination positions our franchisees, our business and our employees for continued success and new opportunities in the future,” said Patterson.
